Acceptance of These Terms of Service

Noisy Team ("Noisy," "we," "us," or "our") provides our services (described below) and related content to you through our website(s) and through our mobile applications and related technologies ("Mobile Apps," and collectively, such Mobile Apps and the website, including any updated or new features, functionality, and technology, the "Service"). All access and use of the Service is subject to the terms and conditions contained in these Terms of Service (as amended from time to time, these "Terms of Service").

By accessing, browsing, or otherwise using the Mobile Apps or any other aspect of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not accept the terms and conditions of these Terms of Service, you will not access, browse, or otherwise use the Service.

We reserve the right, at our sole discretion, to change or modify portions of these Terms of Service at any time. If we do this, we will post the changes on this page and will indicate at the top of this page the date these Terms of Service were last revised. Your continued use of the Service after the date any such changes become effective constitutes your acceptance of the new Terms of Service.

1. Eligibility & Account Registration

You must be at least 13 years of age to access or use the Service. If you are between 13 and the age of majority in your jurisdiction, you represent that your legal guardian has reviewed and agreed to these Terms of Service on your behalf.

When registering for an account, you agree to provide true, accurate, current, and complete information about yourself. You are responsible for maintaining the confidentiality of your account credentials and are fully responsible for all activities that occur under your account.

2. Voice Content & Intellectual Property Rights

Your Content: You retain complete ownership of all audio notes, voice recordings, captions, photos, and messages that you create, record, or submit through the Service ("User Content").

Limited License to Noisy: By posting User Content through the Service, you grant Noisy a non-exclusive, royalty-free, worldwide license to store, transmit, encode, reproduce, and play back your User Content solely for the purpose of operating and delivering the Service to you and your designated connections in accordance with your privacy preferences.

Revocation: You can terminate this license at any time by deleting individual voice notes, chats, or permanently deleting your Noisy account.

3. Acceptable Use Policy

By accessing or using Noisy, you agree that you will NOT:

• Record or share audio containing hate speech, harassment, defamation, threats of violence, or explicit non-consensual imagery.
• Impersonate any person or entity, or falsely misrepresent your affiliation with any person or organization.
• Transmit or record spam, unauthorized advertising, or promotional solicitations.
• Attempt to reverse-engineer, decompile, crawl, or tamper with the Noisy client applications or cloud infrastructure.
• Share or distribute another user's private voice recordings without their explicit prior permission.
• Use the Service for any unlawful purpose or in violation of applicable local, national, or international regulations.

4. Account Suspension & Termination

You may stop using the Service at any time and can permanently delete your account directly through the in-app settings (Settings > Delete Account) or by emailing us.

We reserve the right to suspend, disable, or permanently terminate your account and your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms of Service or our Community Guidelines.

5. Disclaimers & Limitation of Liability

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NOISY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOISY AND ITS DEVELOPERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

6. Governing Law

These Terms of Service and your use of the Service will be governed by and construed in accordance with the laws of the jurisdiction in which the developers reside, without giving effect to any principles of conflicts of law.
